All Welding Supplies, Inc. was a second generation, family-owned distributor of industrial and medical gases. The business operated from two branches, one in Lynn, Massachusetts and one in Rochester, New Hampshire--each branch had bulk storage facilities and hardgoods sales. All Welding was owned by siblings John and Jim Castro and Janice Hirschfeld. Jim Castro managed the Lynn branch, and brother-in-law John Hirschfeld managed the Rochester branch.
Leaders LLC was retained to conduct a controlled, confidential sale process to obtain the highest price the market would pay for the All Welding business. After preparing the Confidential Summary Descriptive Memorandum and the list of Potential Buyers, Leaders approached potential buyers about this acquisition opportunity. Three months after approaching potential buyers, All Welding Supplies, Inc. entered into a letter of intent with Airgas, a publicly-held subsidiary of Air Liquide, a world leader in gases headquartered in Paris, France. The sale process was competitive and confidential, and resulted in a strong valuation for the owners.
